Earnout provisions are a useful tool in M&A agreements for allocating risk between purchasers and sellers and for incentivizing management to help their business succeed following a change of ownership. However, they can also lead to disputes: they ‘convert today’s disagreement over price to tomorrow’s litigation over outcome’. Given recent market disruptions caused by the COVID-19 pandemic and government responses, it is more important than ever to understand how earnout provisions work and how they may affect your clients. The panelists will discuss the legal and accounting aspects of earnout provisions as well as the role that professionals can play in advancing and resolving earnout disputes.
Speakers: Stephen Brown-Okruhlik, J.D. of McMillan LLP and Chris Polson, CPA, CMA, CFA, CBV, CFF of PwC

The itaxpartners Advantage
itaxpartners is a professional development program dedicated to providing a unique learning experience in the format of seminars, webinars, or interactive panel discussions. While the primary focus is tax we will also provide panel discussions and webinars for the clients we serve. Target subjects are in estate planning, trusts, succession planning, owner/manager issues, capital structures and real estate.
Our mission is to provide professionals and the clients/markets we serve with a unique opportunity to learn, network and connect.
Our goal is to provide practical, professional, focused and detailed knowledge for your practice, business, or family. There are many great educational formats; itaxpartners will follow a path based on our many years of experience and from input from our network of clients and professionals. One such path is to provide in-depth materials and practical examples / case studies focused on tax, estate planning and real estate for the professional. We will also create thought provoking sessions for the clients our professions serve. For some events, this practical learning experience will be followed by an informal networking event with a sponsor, piers, professionals and related service providers. Hence the rational for “partners” in itaxpartners! While we all have the need for continuing education, we will strive to go one step further and connect complementary professionals to assist in their business development. To do this, we will enlist sponsors and service providers our professions work with regularly.
